Fiat Chrysler Automobiles N.V. („FCA") (NYSE: FCAU / MTA: FCA) und Peugeot S.A. („Groupe PSA") geben die Zusammensetzung des Board of Directors von Stellantis bekannt. Stellantis ist das neue Unternehmen, das aus der Zusammenlegung der jeweiligen Geschäftsbereiche von FCA und Groupe PSA hervorgehen wird.

In Übereinstimmung mit den Bedingungen ihres am 18. Dezember 2019 angekündigten Kombinationsvertrags wird das Board of Directors von Stellantis aus elf Mitgliedern bestehen, wobei die Mehrheit der Non-Executive Directors unabhängig sein wird. Die unabhängigen Mitglieder des Gremiums kommen aus unterschiedlichen beruflichen Umfeldern und werden wertvolle Perspektiven und Erfahrungen einbringen – ganz im Einklang mit der dynamischen Entwicklung und dem Innovationsgeist, welche die Gründung des neuen Unternehmens kennzeichnen.

Gemeinsam werden sie dazu beitragen, die einzigartigen Stärken und Fähigkeiten von Stellantis in einer neuen Ära der Mobilität voll auszuschöpfen, mit dem Ziel, für alle Aktionäre einen Mehrwert zu schaffen.

FCA und ihr Referenzaktionär Exor haben fünf Mitglieder nominiert (darunter John Elkann als Chairman); die Groupe PSA und zwei ihrer Referenzaktionäre (EPF/FFP und BPIfrance) ebenfalls fünf Mitglieder (darunter den Senior Independant Director und den Vice Chairman). Auch Carlos Tavares, CEO von Stellantis, wird Mitglied des Board of Directors sein.

Das Stellantis Board of Directors setzt sich, vorbehaltlich der Abstimmung durch die Aktionäre, wie folgt zusammen:
